1. Acceptance of Terms
By accessing or using any service provided by YMLA Data Solutions SRL ("YMLA", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our services.
2. Description of Services
YMLA provides cloud-hosted enterprise software solutions including but not limited to ERP systems, helpdesk platforms, financial management tools, and related services (collectively, the "Services"). Services are provided on a subscription basis as described on our pricing page.
3. Account Registration
To access the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account credentials confidential. You are responsible for all activities that occur under your account.
4. Subscription and Billing
Subscriptions are billed in advance on a monthly or annual basis via PayPal. By subscribing, you authorize YMLA to charge your payment method on a recurring basis. All fees are stated in US Dollars (USD) and are non-refundable except as required by applicable law or as explicitly stated herein.
In the event of a failed payment, you will have a grace period of up to 15 days to resolve the issue before your service is suspended.
5. Trial Period
Certain services offer a free trial period. No payment method is required during the trial. At the end of the trial, you may choose to subscribe. YMLA reserves the right to modify or discontinue trial offers at any time.
6. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any regulations
- Attempt to gain unauthorized access to any part of the Services
- Reverse engineer, decompile, or disassemble any component of the Services
- Use the Services to transmit malware or harmful code
- Resell or sublicense the Services without written authorization from YMLA
7. Data and Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
8. Intellectual Property
All intellectual property rights in the Services, including software, documentation, and trademarks, are owned by YMLA or its licensors. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Services during your subscription period.
9. Service Availability
YMLA targets 99.9% monthly uptime for production services. Scheduled maintenance windows will be communicated in advance. YMLA is not liable for downtime caused by circumstances beyond its reasonable control.
10. Limitation of Liability
To the maximum extent permitted by applicable law, YMLA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising from your use of the Services. YMLA's total liability shall not exceed the amounts paid by you in the three months preceding the claim.
11. Termination
You may cancel your subscription at any time through your dashboard. YMLA may suspend or terminate your account if you violate these Terms. Upon termination, your right to use the Services ceases immediately.
12. Governing Law
These Terms are governed by the laws of the Dominican Republic. Any disputes shall be resolved exclusively in the courts of Santo Domingo, Dominican Republic.
13. Changes to Terms
YMLA reserves the right to update these Terms at any time. Material changes will be communicated via email or through the platform. Continued use of the Services after changes become effective constitutes acceptance of the new Terms.
